Terms of Service

1. Agreement to Terms

By accessing or using the services provided by OpSol (Operational Solutions), an Estonian company, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access our services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Services

OpSol provides software and automation solutions for businesses, including but not limited to:

  • SaaS Products: Multi-tenant software platforms (such as BlueOps) for service operations management
  • Custom Software Development: Tailored software solutions built to your specifications
  • System Integrations: Connections to third-party services (e.g., QuickBooks, Stripe)
  • Process Automation: Automated workflows and business process optimization

3. User Accounts

3.1 Account Registration

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of these Terms.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access or security breach

3.3 Account Administrators

Business accounts may designate administrators who can manage users, permissions, and account settings. The account owner is responsible for the actions of all users within their organization.

4. Subscription and Payments

4.1 Billing

Subscription fees are billed in advance on a monthly or annual basis, as selected during signup. Custom software development projects are billed according to the terms specified in individual project agreements.

4.2 Payment Processing

Payments are processed through third-party payment providers (such as Stripe).OpSol does not store credit card information. By providing payment information, you authorize us to charge the applicable fees.

4.3 Price Changes

We may modify subscription prices with at least 30 days' notice. Price changes will take effect at the start of the next billing cycle.

4.4 Refunds

Fees are generally non-refundable except as expressly set forth in these Terms, in individual agreements, or as required by applicable law.

5. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Engage in any activity that could harm our reputation or business
  • Use automated systems to access the services without our prior written consent
  • Collect or harvest user data without authorization

6. Data and Content

6.1 Your Data

You retain all rights to the data you upload to our services ("Customer Data"). You grant us a limited license to use, process, and store this data solely to provide our services.

6.2 Data Processing

Our processing of personal data is governed by our Privacy Policy and, for business customers, our Data Processing Agreement.

6.3 Media Content

Photos, videos, and other media uploaded through our services remain your property. We do not use customer media for marketing, training AI models, or any purpose other than providing the contracted services.

6.4 Data Export and Deletion

You may request export of your data in a standard format (CSV/JSON). Upon account termination, your data will be deleted in accordance with our retention policies and applicable legal requirements.

7. Intellectual Property

7.1 Our Intellectual Property

The service, including its original content, features, functionality, and underlying technology, is owned by OpSol and protected by international copyright, trademark, patent, and other intellectual property laws.

7.2 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes during the subscription term.

7.3 Custom Development

For custom software development projects, intellectual property ownership is determined by the specific agreement governing that project.

8. Third-Party Integrations

Our services may integrate with third-party applications (e.g., QuickBooks, Stripe). Your use of these integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the practices of third-party services.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice when possible. We are not liable for any downtime or service interruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OpSol shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total liability for any claims arising from or related to these Terms or our services shall not exceed the amounts paid by you in the twelve (12) months preceding the claim.
  • These limitations apply regardless of the legal theory upon which the claim is based.

11. Indemnification

You agree to indemnify and hold harmless OpSol, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services or violation of these Terms.

12. Termination

12.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us. Termination will take effect at the end of the current billing period.

12.2 Termination by Us

We may suspend or terminate your access if you:

  • Violate these Terms
  • Fail to pay applicable fees
  • Engage in fraudulent or illegal activity

12.3 Effect of Termination

Upon termination:

  • Your access to the services will cease
  • You may request a data export within 30 days
  • Your data will be deleted according to our retention policies
  • Provisions that by their nature should survive will remain in effect

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us to attempt to resolve any dispute informally.

13.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to conflict of law principles.

13.3 Jurisdiction

Any disputes shall be resolved in the courts of Estonia, unless otherwise required by applicable law (e.g., consumer protection laws in your jurisdiction).

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or through the service. Continued use after changes take effect constitutes acceptance of the modified Terms.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable agreements, constitute the entire agreement between you and OpSol.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
